Hooz LLC — End‑User Terms of Service

Legal Entity: Hooz LLC ("Hooz," "we," "us," "our")

Application: Hooz mobile and web applications, sites, and services (collectively, the "App").

Plain‑English summary (not a contract):

Hooz helps recreational teams and players find last‑minute substitutes. We don't run or supervise games, we don't provide medical or legal advice, and we're not responsible for injuries or disputes. You must be 18+. Use is subject to binding arbitration and a class‑action waiver (with a small‑claims carve‑out and 30‑day opt‑out). Location and contact data are used only with your consent. For leagues, a separate League Agreement governs waiver and payments tools.

1) Acceptance of Terms

By creating an account, accessing, or using the App, you agree to these Terms of Service ("Terms") and the Privacy Policy below. If you do not agree, do not use the App. If you are accepting on behalf of an organization (e.g., a team), you represent that you have authority to bind that organization.

2) Eligibility

Age. There is no age restriction to create or manage a team account. However, you must be 18 years or older to access or use the "Free Agency" portion of the App. In addition, a team may not utilize the Free Agency functionality if any registered team member is under the age of 18. By using the Free Agency features, you affirm that you (and all team members, if applicable) meet the 18+ requirement. We may require age or ID verification to confirm compliance.

Account. You must provide accurate information and keep it current. You are responsible for all activities under your account.

One account per person. Do not create or use multiple accounts to circumvent rules or restrictions.

3) Service Description; No Control of Events

Hooz provides a platform for teams and players to discover, request, and coordinate substitute participation in recreational sports. Hooz does not organize, regulate, oversee, supervise, or control any practices, games, meet‑ups, venues, or transportation, nor do we screen participants. We do not perform background checks, health background checks, prior incidents and conduct or assess the suitability, demeanor, and/or health of participants to participate in sporting events. All on‑field activities are independently organized by users or leagues and the determination regarding the eligibility of individuals to participate in league events lies solely within the discretion of the league.

4) Safety; Assumption of Risk

Sports involve inherent risks (e.g., collisions, falls, health events). You knowingly and voluntarily assume all risks and any and all injuries related to participating in activities arranged through the App, including exposure to illness. You are solely responsible for your fitness to participate, your equipment, and obtaining any medical advice. Hooz is not liable for injuries, property damage, or losses arising from use of the App or participation in any activity. By using this app, you expressly waive any and all claims that you, your heirs, and all others might assert for injury and harm, physical and psychological, for both economic and non-economic damages from the use of this app, participation in league events, and any and all other claims for damages.

6) Messaging; Communications

Phone Number Verification (Required for Service)

Hooz requires phone number verification for core service functionality, including enabling other users to find and invite you to teams via phone lookup, and for account security purposes. Providing your phone number for verification does NOT constitute consent to receive SMS text messages.

SMS Notifications (Optional)

SMS text message notifications are completely optional. You may choose to receive notifications via push notifications (default) or opt in to receive SMS text messages. To receive SMS notifications, you must explicitly opt in through your account settings by selecting "SMS Messages" as your notification preference and accepting the SMS messaging terms. By opting in, you consent to receive transactional SMS messages from Hooz related to matches, invites, game updates, and other service-related communications. Hooz does not send promotional or marketing messages via SMS. Message/data rates may apply. You can opt out at any time by replying STOP to any message or by changing your notification preference in settings; reply HELP for help. See our SMS Messaging Consent page for full details.

Push Notifications & In-App Messages

You will receive in-app messages and may receive push notifications through the App (subject to your device settings). These are the default notification method and do not require SMS opt-in.

Email Communications

We may send you transactional emails required for service operation. You can manage marketing email preferences through your account settings.

In‑App Chat Messaging

The App includes chat features that allow users to communicate with teammates, managers, and other users. When using chat features:

7) E‑Sign Disclosure & Consent (ESIGN/UETA)

By using the App, you consent to use of electronic records and signatures for agreements, acknowledgments, and receipts (including any league waiver you sign via the App). You can withdraw consent by closing your account (which may limit your use). We will provide reasonable access to copies of electronically signed records. Keep your contact information current.

8) Waivers, Forms, and Guidance

Hooz may display league‑provided waivers for your review and signature. Hooz does not draft, review, or guarantee the legal sufficiency of any waiver; we are not a law firm and do not provide legal advice. Participants understand the option to address specific waivers with league officials and to consult with an attorney. The league is solely responsible for the content and enforceability of its forms. Any "game cannot start" indicators are informational only; final compliance decisions rest with leagues and teams.

9) Payments; Fees; Chargebacks (if available to users)

Certain features may enable collection of team or league fees via third‑party payment processors. Hooz does not store full payment card numbers and does not act as a money transmitter. Funds flow through the processor according to the processor's terms. Refunds, chargebacks, taxes, and receipts are the responsibility of the payee (e.g., a league) unless otherwise stated. Platform or transaction fees (if any) will be disclosed in‑App.

10) Third‑Party Services

The App may link to or rely on third‑party services (e.g., maps, payments, e‑signature). Those services are provided by third parties under their own terms and privacy notices. Hooz is not responsible for third‑party services.

11) Intellectual Property; User Content

Hooz IP. The App and its content (excluding User Content) are owned by Hooz and licensed to you for personal, lawful use.

User Content License. You grant Hooz a non‑exclusive, worldwide, royalty‑free license to host, use, reproduce, and display content you submit, solely to operate and improve the App.

Infringement Notices (DMCA). If you believe content infringes your rights, contact payton.soicher@hooz.app with details. We may remove content and, where appropriate, terminate repeat infringers.

12) Privacy & Data (see Privacy Policy below)

Use of the App is subject to the Privacy Policy. You agree that Hooz may process your information consistent with that Policy.

13) Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." HOOZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND MERCHANTABILITY. WE DO NOT WARRANT MATCH AVAILABILITY, PARTICIPANT CONDUCT, SAFETY OF EVENTS, OR ACCURACY OF INFORMATION.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOZ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, GOODWILL, OR DATA. HOOZ'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID TO HOOZ FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; these limits apply to the fullest extent permitted.

15) Indemnification

You agree to indemnify, defend, and hold harmless Hooz from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the App or participation in activities; (b) your breach of these Terms; (c) your content; or (d) your violation of rights of others or law.

16) Dispute Resolution; Arbitration; Class Waiver

Binding Arbitration. Any dispute between you and Hooz will be resolved by binding arbitration under the U.S. Federal Arbitration Act, administered by JAMS or AAA under their rules. Venue: Denver, Colorado; language: English.

Exceptions. Either party may bring an individual action in small‑claims court or seek injunctive relief for IP misuse.

Class Action Waiver. Disputes may be brought only on an individual basis—no class, consolidated, or representative actions.

30‑Day Opt‑Out. You may opt out of arbitration/class waiver by sending written notice to payton.soicher@hooz.app within 30 days of first accepting these Terms (include your name, account email, and a clear statement of opt‑out). Opt‑out does not affect prior arbitration agreements with us.

17) Suspension; Termination

We may suspend or terminate access (with or without notice) for policy, safety, or legal reasons, including but not limited to: violations of these Terms; abusive, harassing, or threatening behavior; fraudulent activity; misuse of chat or messaging features; reports of inappropriate conduct; or any behavior we determine, in our sole discretion, to be harmful to the App or its users. We are not required to provide specific reasons for suspension or termination. You may stop using the App at any time. Sections that by their nature should survive (e.g., 11–18) will survive termination.

18) Changes to Terms

We may update these Terms. Material changes will be notified in‑App or by email. Continued use after the effective date constitutes acceptance. For significant changes, we may require affirmative re‑acceptance before further use.

19) Export; Sanctions; Compliance

You represent you are not subject to embargoes or on any sanctions lists (e.g., OFAC). Do not use the App for unlawful purposes.

20) Governing Law; Miscellaneous

Governing law: Colorado, without regard to conflict rules; FAA governs arbitration.

Assignment: You may not assign without our consent; we may assign (e.g., in a merger or sale).

Entire Agreement; severability; waiver only in writing; headings for convenience only.
